Governance
The governance of the Impact Principles is conducted in accordance with the Impact Principles Governing Provisions, which are subject to periodic revision. They are distributed to Signatories at the time of signing and upon revision, and are available to Signatories by request at secretariat@impactprinciples.org
Advisory Board members are elected by a vote of the Signatory community, with elections held every two years. Members serve four-year terms and can be elected for up to two consecutive terms. In addition to the elected members, the Secretariat’s host organization (the Global Impact Investing Network) and original host (the International Finance Corporation) are eligible to serve on the Advisory Board. The Advisory Board may also elect up to two independent members or observers. The Advisory Board is chaired by a Convenor, who presides over Advisory Board meetings.

The Secretariat manages all administration of the Impact Principles, organizes meetings of the Advisory Board and convenes Signatories as needed— for strategic updates, informational sessions or other discussions in support of the advancement of the Impact Principles. The Secretariat facilitates the disclosure process by reviewing all disclosure statements prior to publication and manages the public database of current disclosures and verification summaries.
Finally, the Secretariat manages the review and update process for the Impact Principles, working in consultation with the Advisory Board and Host and issuing proposed amendments for approval by Signatories.
The Secretariat does not have any responsibility or authority to:
- endorse Signatories or certify their compliance with the Impact Principles;
- investigate or verify the accuracy of Signatories’ disclosure statements or other marketing materials referencing the Impact Principles;
- approve specific interpretations of the Impact Principles.
The Secretariat is hosted by the Global Impact Investing Network (the GIIN), a nonprofit organization dedicated to increasing the scale and effectiveness of impact investing around the world.

The GIIN took over as host in October 2022 in a joint announcement with the International Finance Corporation (IFC), which had founded and hosted the Secretariat since April 2019.
As the host, GIIN provides legal home and operational infrastructure for the Impact Principles and sits on the Advisory Board of the Impact Principles. The Secretariat collaborates closely with the GIIN’s leadership and staff to align strategy, programs and ecosystem engagements while maintaining some level of independence with regards to the Impact Principles brand, budget, programs and communications as a global standard.
